These Affiliate Program Terms and Conditions (“Agreement”) govern the relationship between BIGBANG Information Technology Solutions (“we,” “our,” or “us”) and the individual or entity (“Affiliate,” “you,” or “your”) participating in the BIGBANG Affiliate Program. By signing up and participating in our Affiliate Program, you agree to comply with the terms and conditions outlined in this Agreement.
1. Enrollment in the Affiliate Program
1.1 Eligibility
To become an Affiliate, you must:
- Be at least 18 years of age.
- Have a valid and active website, blog, or social media profile relevant to our services.
- Complete the Affiliate Program application form accurately and completely.
1.2 Approval
BIGBANG ITS reserves the right to approve or reject any Affiliate application at our sole discretion. Approval is contingent upon your website, blog, or social media profile adhering to our content guidelines and being deemed suitable for our brand.
2. Affiliate Responsibilities
2.1 Promotion of Services
As an Affiliate, you will promote BIGBANG’s services, including shared hosting, VPS hosting, dedicated hosting, reseller hosting, 3CX VOIP services, digital marketing services, web and mobile application development, domain sales, IPTV services, and business email services.
2.2 Affiliate Links
You will be provided with unique affiliate links (“Affiliate Links”) to track referrals. It is your responsibility to ensure that your Affiliate Links are properly formatted and used correctly to track your commissions.
2.3 Compliance with Laws
You agree to comply with all applicable laws and regulations, including but not limited to, data protection laws, anti-spam laws, and consumer protection regulations. You are solely responsible for the content you publish and the manner in which you promote our services.
2.4 Prohibited Activities
As an Affiliate, you are prohibited from engaging in the following activities:
- Misrepresenting our services or making false claims about BIGBANG.
- Using your Affiliate Links in any form of unsolicited commercial emails (spam).
- Bidding on branded keywords or trademarked terms related to BIGBANG on search engines without prior approval.
- Promoting our services on websites or platforms that contain or promote illegal, offensive, or inappropriate content.
3. Commissions and Payments
3.1 Commission Structure
You will earn a commission for each qualifying sale (“Qualified Sale”) referred through your Affiliate Links. The specific commission rates and structure will be outlined in your Affiliate dashboard.
3.2 Payment Terms
Commissions are paid on a [monthly/quarterly] basis, provided that the total commission earned meets the minimum payment threshold of [insert amount]. Payments will be made via [payment methods, e.g., PayPal, bank transfer] as specified in your account settings.
3.3 Refunds and Chargebacks
If a customer referred by you cancels their order or receives a refund, the corresponding commission will be deducted from your account. If chargebacks occur, BIGBANG reserves the right to withhold or deduct the associated commission.
4. Affiliate Conduct and Content Guidelines
4.1 Content Guidelines
Your website, blog, or social media profile must adhere to the following content guidelines:
- Content must be original, truthful, and not infringe on the intellectual property rights of others.
- Content must not contain or promote illegal activities, hate speech, or any form of discrimination.
- Content must not engage in or promote any form of deceptive practices, such as clickbait, fake news, or misleading information.
4.2 No Cookie Stuffing
You may not use cookie stuffing techniques, including placing tracking cookies without the user’s knowledge and consent, to generate commissions.
4.3 No Direct Linking
You are not allowed to directly link to our website from paid advertisements without prior approval. All paid advertising efforts must lead to a landing page or website owned and operated by you.
5. Term and Termination
5.1 Term
This Agreement will begin upon your acceptance into the Affiliate Program and will continue until terminated by either party.
5.2 Termination
BIGBANG reserves the right to terminate this Agreement at any time, with or without causes, by providing notice to you. Upon termination, you must immediately cease using our Affiliate Links and remove all references to BIGBANG from your website, blog, or social media profile.
5.3 Effects of Termination
Upon termination of this Agreement, you will no longer be entitled to earn commissions for any referrals made after the termination date. Any commissions earned before termination will be paid out in accordance with our payment terms.
6. Intellectual Property
6.1 License
BIGBANG ITS grants you a non-exclusive, non-transferable, revocable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting our services in accordance with this Agreement.
6.2 Restrictions
You may not modify our trademarks, logos, or marketing materials in any way. All intellectual property rights in our trademarks, logos, and marketing materials remain with BIGBANG ITS.
7. Confidentiality
You agree to keep all confidential information provided by BIGBANG ITS, including but not limited to, customer data, marketing strategies, and business practices, confidential and not disclose it to any third party without our prior written consent.
8. Limitation of Liability
BIGBANG ITS will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, including loss of revenue, profits, or data.
9. Indemnification
You agree to indemnify and hold harmless BIGBANG, its affiliates, and their respective directors, officers, employees, and agents from any claims, damages, or expenses arising out of your breach of this Agreement, misuse of Affiliate Links, or violation of any applicable laws or regulations.
10. Amendments
BIGBANG reserves the right to modify or update this Agreement at any time. Any changes will be effective upon posting the revised Agreement on our website. You are responsible for reviewing this Agreement periodically to stay informed of any updates.
11. Governing Law and Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of UAE. Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of UAE.
12. Miscellaneous
12.1 Entire Agreement
This Agreement constitutes the entire agreement between you and BIGBANG ITS regarding your participation in the Affiliate Program and supersedes all prior agreements and understandings, whether written or oral.
12.2 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
12.3 No Waiver
No failure or delay by BIGBANG ITS in exercising any right or remedy under this Agreement will operate as a waiver of that right or remedy.
12.4 Assignment
You may not assign or transfer this Agreement, or any of your rights or obligations hereunder, without the prior written consent of BIGBANG ITS.
